CV Sciences, Inc. has completed an equity purchase of Elevated Softgels, LLC, a GMP-certified manufacturer of encapsulated softgels and tinctures, which will operate as a wholly owned subsidiary. The acquisition (up to $1.0M consideration) is intended to in-source production for CV Sciences' +PlusCBD products, increase sales to current and new clients, and leverage Elevated Softgels' low-MOQ and flexible production capabilities to drive cost savings and growth.

Curaleaf Acquires Deseret Wellness

Curaleaf Holdings, Inc. agreed to acquire Deseret Wellness in a cash-and-stock transaction valued at approximately US$20 million. The deal adds three medical cannabis dispensaries in Park City, Provo and Payson (combined annualized revenue ~$14 million), expanding Curaleaf’s Utah retail footprint to four dispensaries and its nationwide store count to about 150.

Biogen Acquires Alcyone Therapeutics

Biogen has acquired Alcyone Therapeutics to obtain the ThecaFlex DRx intrathecal drug‑delivery system, integrating Alcyone employees into Biogen’s product delivery solutions team. Alcyone will receive $85 million upfront plus contingent milestone payments; Biogen will handle development, commercialization and manufacturing of ThecaFlex DRx while Alcyone’s remaining therapeutic assets are being divested into Neela Therapeutics.

Premier Biotech Acquires Desert Tox

Premier Biotech, a toxicology testing provider backed by Align Capital Partners, has acquired Desert Tox, LLC, a SAMHSA‑certified laboratory that provides urine and oral fluid testing across HHS/DOT, employment, occupational health and government markets. The founders, Mike Grommes and Mike Gorman, will remain involved; the deal is Premier's first add-on since ACP's acquisition in November 2022 and expands Premier's national service offering and oral fluids capabilities.

Curaleaf Acquires Bloom Dispensaries

Curaleaf Holdings, Inc. agreed to acquire Bloom Dispensaries, a vertically integrated single-state cannabis operator in Arizona, in an all-cash transaction valued at approximately US$211 million. The deal adds four retail dispensaries (Phoenix, Tucson, Peoria, Sedona) plus ~63,500 sq. ft. of adjacent cultivation and processing space in north Phoenix; Curaleaf will pay $51 million cash at close and the remainder via three promissory notes, and Bloom generated estimated 2021 revenue of ~$66 million with EBITDA margins above 40%.

Everstone Capital Acquires Controlling Stake in Softgel Healthcare

Everstone Capital has acquired a controlling (majority) stake in Softgel Healthcare Private Limited (SHPL), a Chennai-headquartered CDMO specializing in soft gelatin capsules and probiotics and part of the Madras Pharma Group. The investment will support SHPL's global expansion and capability development across pharmaceutical, nutraceutical and OTC markets, with Everstone partners joining the company's board.
