Kinder Morgan Acquires NextEra Energy Partners' South Texas Assets (STX Midstream)

Kinder Morgan closed its previously announced $1.815 billion acquisition of NextEra Energy Partners' South Texas assets (STX Midstream), acquiring majority interests in multiple natural gas pipelines including a 90% interest in the NET Mexico pipeline and a 50% interest in Dos Caminos LLC. The assets expand Kinder Morgan's South Texas footprint and provide greater connectivity to LNG, Mexico export and Gulf Coast power and industrial markets.

MPLX LP Acquires Northwind Midstream for $2.375 Billion

MPLX LP completed the $2.375 billion acquisition of Northwind Delaware Holdings LLC (Northwind Midstream), adding sour gas gathering, treating and processing capacity in Lea County, New Mexico. The deal strengthens MPLX’s Permian Basin natural gas and NGL value chains, is expected to be immediately accretive to distributable cash flow, and includes an estimated $500 million of incremental capital for expansion projects.

Phillips 66 Acquires Pinnacle Midstream from Energy Spectrum Capital

Phillips 66 has agreed to acquire Pinnacle Midland Parent LLC (Pinnacle Midstream II) from private equity firm Energy Spectrum Capital for $550 million to expand its natural gas gathering and processing footprint in the Midland Basin. The assets include the Dos Picos 220 MMcf/d processing plant, ~80 miles of gathering pipeline and 50,000 dedicated acres; the deal is expected to close mid‑2024 subject to customary conditions, including HSR clearance.

Energy Transfer Acquires WTG Midstream for $3.25 Billion

Energy Transfer LP agreed to acquire WTG Midstream Holdings LLC in a transaction valued at approximately $3.25 billion, comprising $2.45 billion in cash and ~50.8 million newly issued Energy Transfer common units. The deal, from affiliates of Stonepeak, the Davis Estate and Diamondback Energy, adds WTG's Permian-focused midstream assets — including a 6,000-mile pipeline network, eight processing plants (≈1.3 Bcf/d) and a 20% interest in the BANGL NGL pipeline — to Energy Transfer's footprint to enhance its gas/NGL supply, processing and downstream capabilities.

Voyager Midstream Acquires East Texas Gas Gathering and Processing Assets From Phillips 66

Voyager Midstream Holdings, a Pearl Energy Investments portfolio company, acquired natural gas gathering and cryogenic processing assets from Phillips 66 located in East Texas and north Louisiana, including roughly 550 miles of pipelines, 400 MMcf/d processing capacity, and 12,000 bpd fractionation capacity. The deal also includes the Carthage Hub, a major gas trading and delivery hub with >1 Bcf/d handling capability, and is intended to expand Voyager's footprint in the Haynesville Shale and improve producer connectivity to Gulf Coast markets.

Harvest Midstream Acquires Paradigm Midstream, LLC from Ares Management Funds

Harvest Midstream has acquired Paradigm Midstream, LLC from funds managed by Ares Management's Infrastructure Opportunities strategy. The deal adds Paradigm’s North Dakota (Bakken) and South Texas (Eagle Ford) gathering, storage and pipeline assets — including four gathering systems, ~350 miles of lines and interests in terminals and crude/gas lines — expanding Harvest’s footprint into the Bakken and deepening its Eagle Ford presence.
