Sonesta International Hotels Corporation announced a definitive agreement to acquire RLH Corporation (NYSE: RLH), a franchisor with more than 900 hotels. The deal will expand Sonesta's scale and franchising capabilities, creating a combined company with roughly 1,200 hotels across multiple brands; the transaction is expected to close in the first half of 2021 and will be funded with cash-on-hand and/or capital contributions from Sonesta's shareholders.

Blackstreet Capital Affiliate Acquires Red Apple Stores Inc.

An affiliate of Blackstreet Capital Holdings, LLC has acquired Red Apple Stores Inc., the operator of 142 small‑town general merchandise stores under the Red Apple and The Bargain! Shop banners. Blackstreet said it will partner with Red Apple management to support growth, open new stores, and provide operational support through key hires.

Planet Fitness Acquires Sunshine Fitness (114 Clubs)

Planet Fitness, Inc. agreed to acquire Sunshine Fitness Growth Holdings, LLC — a Planet Fitness franchisee operating 114 clubs in the Southeast U.S. — in a cash-and-stock transaction valued at $800 million, funded in part by a new securitization and available cash. The locations (in AL, FL, GA, NC and SC) were folded into Planet Fitness' company-owned portfolio, and Sunshine co-founder Shane McGuiness joined Planet Fitness to oversee the combined corporate club operations; the deal closed in February 2022.

Pineapple Energy Acquires SUNation Energy

Pineapple Energy Inc. acquired SUNation Energy, a Long Island-based solar and battery storage installer, in a transaction that closed on November 9, 2022. The deal expands Pineapple's footprint into the northeastern United States, adding SUNation's ~19-year regional business, ~12,000 serviced PV systems and ~$48 million of trailing twelve-month revenue to Pineapple's nationwide solar and storage platform.

MFA Companies acted as exclusive financial advisor to Anchor Fitness; terms were not disclosed. The acquisition expands Sunshine Fitness’s footprint to roughly 80 clubs across the Southeast U.S.
