OneDigital Acquires CAL Insurance

OneDigital has acquired CAL Insurance, a San Francisco-based property and casualty insurance brokerage founded in 1927, to expand its P&C and risk management capabilities in the Western U.S. CAL’s leadership team, including CEO Joe DeLucchi and five principals, and the firm’s 26+ employees will join OneDigital to continue serving CAL’s ~2,000 clients across private clients, real estate, education, non-profits and commercial sectors. The acquisition strengthens OneDigital’s national presence and complements its employee benefits, PEO and risk-management offerings.

OneDigital Acquires Praxis Consulting Inc.

OneDigital Investment Advisors, the SEC-registered investment adviser and subsidiary of OneDigital, acquired Praxis Consulting Inc., a Sacramento-based retirement plan consulting and investment management firm led by Mark Ray. The deal brings Praxis' ~$240M in plan assets and ~$110M in personal advisory assets into OneDigital's Retirement and Wealth division and expands OneDigital’s retirement consulting capabilities and geographic presence.

OneDigital Acquires Keystone Retirement & Insurance Advisors LLC

Onex Acquires Majority Stake in OneDigital from New Mountain Capital

Onex Corporation (the Onex Group) agreed to acquire a majority ownership stake in OneDigital from New Mountain Capital, with the transaction valuing OneDigital at $2.65 billion and including an approximate $960 million equity investment by Onex. OneDigital, a leading U.S. employee benefits brokerage and retirement/wealth advisory firm headquartered in Atlanta with more than 2,000 employees, will have Onex and employees owning roughly 83% upon closing; New Mountain will sell down its position. The deal is expected to close in late 2020 pending customary approvals, including HSR clearance.
