Stewart Information Services Acquires FNC Title Services, LLC

Quarterhill Inc. Acquires Electronic Transaction Consultants (ETC)

Quarterhill Inc. completed the acquisition of 100% of Electronic Transaction Consultants, LLC (ETC), a Richardson, Texas-based intelligent transportation systems (ITS) and tolling provider, for C$150.0 million funded with C$75.0 million cash and C$75.0 million of syndicated debt. The deal gives Quarterhill a leading position in the U.S. tolling market, and Quarterhill expects ETC to generate C$95–120 million of annualized revenue (post-synergies) and C$12.5–15.0 million of Adjusted EBITDA within 12–18 months.

TG Natural Resources Acquires Rockcliff Energy II from Quantum for $2.7 Billion

TG Natural Resources LLC (backed by Tokyo Gas America and Castleton Commodities International) agreed to acquire 100% of Rockcliff Energy II LLC from Quantum Energy Partners/Quantum Capital Group for approximately $2.7 billion. Rockcliff is an upstream natural gas producer focused on the East Texas Haynesville shale with field headquarters in Longview, Texas and ~1.3 Bcf/d gross operated production; the deal closed following customary approvals.

WhiteHawk Acquires PHX Minerals Inc.

WhiteHawk Income Corporation (together with WhiteHawk Energy, LLC) acquired PHX Minerals Inc. in an all-cash transaction valued at $4.35 per share (approximately $187 million including net debt). The deal expands WhiteHawk's minerals and royalties footprint—adding ~1.8 million gross unit acres and increasing exposure to Haynesville and SCOOP/STACK basins—and was completed via merger on June 23, 2025 following a successful tender offer.
