Epassi Group Acquires UK-based Zest

Epassi Group has acquired UK-based Zest, a configurable SaaS employee benefits platform, to expand its presence and product offering in the UK and across Europe. As part of the deal Matt Russell will lead the combined UK business as CEO, and the acquisition is intended to deepen Epassi's product suite for employer customers and accelerate its pan‑European growth.

Funds advised by TA Associates and Warburg Pincus completed a majority investment in Helsinki-based Epassi Group (acquiring the stake from Bregal Milestone). Simultaneously, Epassi announced the strategic acquisition of Exercite (owner of Hansefit, Bedrijfsfitness Nederland and Fitbase) from Waterland and the Exercite founders, expanding Epassi's footprint into Germany and the Netherlands and materially increasing its merchant and corporate customer network.

VIP Aviation Holdings, led by aviation and hospitality veterans Robert Greene, Sachi Greene, and Jeff Osatinski, has acquired Seattle-based VIP Hospitality, LLC. The transaction closed on May 2, 2025; Generational Group advised VIP Hospitality on the sale. VIP Hospitality is an airport hospitality and passenger experience services provider and will be integrated under the new ownership to expand operational capabilities and service offerings.
