Amgen Acquires Teneobio for $900M with Up to $1.6B in Milestones

Amgen agreed to acquire clinical-stage biotechnology company Teneobio for $900 million in upfront cash plus potential contingent milestone payments up to $1.6 billion. Novartis Acquires Anthos Therapeutics for Up to $3.1 Billion

Novartis has completed the acquisition of Anthos Therapeutics, a Blackstone Life Sciences–backed clinical-stage biopharmaceutical company, in a deal valued at up to $3.1 billion, including $925 million paid upfront. The acquisition gives Novartis ownership of abelacimab, a Phase 3 factor XI inhibitor being developed to prevent stroke and cancer-associated thrombosis, with remaining milestone payments contingent on regulatory and commercial outcomes.

Biogen Acquires Human Immunology Biosciences for up to $1.8B

Biogen Inc. has agreed to acquire Human Immunology Biosciences (HI-Bio) for $1.15 billion upfront and up to $650 million in milestone payments, in a deal valued at up to $1.8 billion. The acquisition adds HI-Bio's lead asset felzartamab, an investigational anti-CD38 antibody with Phase 2 data in multiple renal immune-mediated diseases, to Biogen's immunology and rare-disease development capabilities.

Genmab A/S Acquires Merus N.V. via Tender Offer

Genmab A/S, through its wholly owned purchaser Genmab Holding II B.V., completed a tender offer to acquire outstanding common shares of Merus N.V. for $97.00 per share and commenced a subsequent offering period. The acquisition adds Merus' lead late‑stage oncology asset petosemtamab to Genmab's portfolio, expanding its antibody therapeutics pipeline and expected to be accretive to EBITDA by 2029.

Concentra Biosciences (Tang Capital) to Acquire Theseus Pharmaceuticals

Concentra Biosciences, a vehicle controlled by Tang Capital Partners, has entered into a definitive merger agreement to acquire clinical-stage biotech Theseus Pharmaceuticals for $3.90–$4.05 per share in cash plus a contingent value right tied to future program licensing/disposition proceeds. The transaction will be effected by a tender offer and is expected to close in February 2024, subject to customary conditions and the availability of required cash at closing.

Genmab Acquires ProfoundBio for $1.8 Billion

Genmab A/S will acquire clinical-stage biotech ProfoundBio, Inc. in an all-cash transaction valued at USD 1.8 billion to obtain worldwide rights to ProfoundBio's pipeline of antibody-drug conjugates (ADCs), including rinatabart sesutecan (Rina-S). The deal is intended to broaden and strengthen Genmab's oncology and ADC capabilities and is expected to close in the first half of 2024, subject to customary conditions.
