ONEOK Acquires EnLink Midstream

ONEOK, Inc. has completed its acquisition of EnLink Midstream, LLC, with EnLink unitholders receiving 0.1412 shares of ONEOK common stock for each EnLink unit. The deal integrates EnLink's midstream infrastructure into ONEOK's platform, strengthening ONEOK's gathering, processing, transportation and storage capabilities and diversifying its asset base.

Energy Transfer LP agreed to acquire Lotus Midstream Operations, LLC (owner of the Centurion Pipeline system) for approximately $1.45 billion from an affiliate of EnCap Flatrock Midstream. Consideration includes $900 million cash and ~44.5 million newly issued Energy Transfer common units; the deal expands Energy Transfer's Permian Basin crude pipeline and storage footprint and is expected to close in Q2 2023 subject to regulatory approvals.

Enbridge Acquires Moda Midstream Operating for US$3.0 Billion

Enbridge Inc. has completed the acquisition of Moda Midstream Operating from Encap Flatrock Midstream for US$3.0 billion, gaining a 100% operating interest in the Ingleside Energy Center and associated pipeline and logistics assets. The deal also gives Enbridge a 20% interest in the Cactus II Pipeline and advances its U.S. Gulf Coast export strategy and connectivity to Permian and Eagle Ford reserves.

MPLX LP completed the $2.375 billion acquisition of Northwind Delaware Holdings LLC (Northwind Midstream), adding sour gas gathering, treating and processing capacity in Lea County, New Mexico. The deal strengthens MPLX’s Permian Basin natural gas and NGL value chains, is expected to be immediately accretive to distributable cash flow, and includes an estimated $500 million of incremental capital for expansion projects.

Delek Logistics Partners Acquires H2O Midstream

Delek Logistics Partners, LP (NYSE: DKL) has closed the acquisition of H2O Midstream, a portfolio company of EIV Capital, for total consideration of $230 million ($160 million cash and $70 million in convertible preferred redeemable equity). The purchase expands Delek Logistics’ Midland Basin water midstream capabilities—water gathering, transportation, recycling, storage and disposal—and is expected to create operational synergies with its existing Permian Basin assets.
