WELL Health Technologies exercised a previously negotiated call option concurrent with HEALWELL AI Inc.'s closing of its NZ$175 million acquisition of Orion Health, acquiring optioned common and multiple-voting shares of HEALWELL. Following the exercise, WELL holds approximately 37% of the economic interest and roughly 69% of the voting rights in HEALWELL and will hold the shares for investment purposes.

InfoHealth will retain its brand as a ThinkBio.Ai company and the acquisition aims to combine ThinkBio's AI capabilities with InfoHealth's NHS expertise to improve asset reliability, predictive maintenance, and operational resilience across UK hospitals.

HEALWELL AI to Acquire VeroSource Solutions

HEALWELL AI Inc. has agreed to acquire VeroSource Solutions Inc. for total consideration of approximately $24.5 million in a two-step transaction (initial ~51% on July 1, 2024 and remaining ~49% expected about January 1, 2025), payable in cash, HEALWELL subordinate voting shares and a performance-based earn-out. VeroSource, a Canadian health-data interoperability and digital-front-door platform serving provincial health clients, is expected to generate over $8 million in 2024 with strong recurring revenue and margins and will expand HEALWELL's population-health and AI-driven capabilities.

Calian Group Acquires Allphase Clinical Research and Alio Health Services

Calian Group Ltd. announced the acquisition of Ottawa-based Allphase Clinical Research Services Inc. and Alio Health Services Inc., bringing clinical trial management, patient support program capabilities and a proprietary home-care scheduling software into Calian’s Health segment.
