WELL Health Technologies exercised a previously negotiated call option concurrent with HEALWELL AI Inc.'s closing of its NZ$175 million acquisition of Orion Health, acquiring optioned common and multiple-voting shares of HEALWELL. Following the exercise, WELL holds approximately 37% of the economic interest and roughly 69% of the voting rights in HEALWELL and will hold the shares for investment purposes.

NUBURU Acquires Control of Orbit S.r.l.

NUBURU, Inc., through its defense subsidiary Nuburu Defense LLC, completed a staged investment to secure operating control of Orbit S.r.l., an Italian SaaS company specializing in operational resilience, crisis management and risk intelligence. The transaction began with an initial capital infusion (approximately $1.5 million) that established a minority position and governance rights and is planned to continue through further tranches to achieve majority ownership and full consolidation, adding recurring SaaS revenue and defense-focused software capabilities to NUBURU's Defense & Security Hub.

Boecore Acquires Orbit Logic

Boecore, a Colorado Springs-based aerospace and defense engineering contractor, has acquired Orbit Logic, a Greenbelt, Maryland developer of mission planning and scheduling software for satellite ground systems. The deal, announced Feb. 13, will expand Boecore's footprint and software capabilities in the space sector; financial terms were not disclosed.
