Chevron Corporation completed its acquisition of PDC Energy, Inc. in an all‑stock transaction valued at $6.3 billion (approximately $7.6 billion enterprise value), adding significant oil and gas assets in the Denver‑Julesburg (DJ) Basin and the Permian Basin. The deal, approved by PDC shareholders and closed in August 2023, is expected to be accretive to Chevron's earnings, increase proved reserves and deliver operational synergies.

PEDEVCO Corp. completed a merger with portfolio companies controlled by Juniper Capital Advisors, issuing convertible preferred shares to Juniper that, upon conversion, will give Juniper ~53% ownership of the combined company. The transaction included a $35 million private placement, refinancing of the portfolio companies' debt, and increases PEDEVCO's borrowing base to support a combined asset base of ~6,500 BOEPD (80% oil) and ~328,000 net acres across the Northern DJ and Powder River Basins.

Prairie Operating Co. Acquires Producing Assets from Nickel Road Operating LLC

Prairie Operating Co. (Nasdaq: PROP) entered into a definitive agreement to acquire the producing assets of Nickel Road Operating LLC for $94.5 million (including $83.0M cash and $11.5M deferred). The asset purchase expands Prairie's footprint in the DJ Basin — adding ~3,370 net Boepd, 5,500 net contiguous leasehold acres, 62 permitted PUDs and materially accretive reserves and cash flow.

Pioneer Natural Resources Acquires DoublePoint Energy Assets in Midland Basin

Pioneer Natural Resources completed the acquisition of the leasehold interests and related assets of DoublePoint Energy (structured as the purchase of Double Eagle III Midco 1 LLC) in the Midland Basin for approximately $6.2–$6.4 billion in stock, cash and assumed debt. The transaction adds ~97,000 contiguous net acres to Pioneer's Midland Basin footprint and was approved by the boards of the companies; DoublePoint was backed by equity commitments from Apollo, Quantum Energy Partners, Magnetar Capital and Blackstone Credit.

Crescent Energy Acquires Uinta Basin Assets from Verdun/EP Energy for $690M

Crescent Energy Co. closed its purchase of Uinta Basin oil and gas assets in Utah for $690 million, acquiring approximately 145,000 contiguous net acres producing roughly 30,000 boe/d (about 65% oil). The assets were sold by Verdun Oil Co. II LLC (an EnCap Investments-backed vehicle) previously associated with EP Energy; Crescent said the deal expands its Rockies position and adds multiyear development inventory and cash flow.
