Mednow Inc. Acquires Mednow Pharmacy Inc. (Mednow East)

Mednow Inc. (TSXV:MNOW) has completed the previously announced acquisition of all issued and outstanding voting shares of Mednow Pharmacy Inc. ("Mednow East") for approximately C$65,578 in cash and by converting approximately C$1,374,422 of intercompany debt into a non‑interest bearing convertible promissory note. Mednow East will be consolidated into Mednow's operations, the existing pharmacy agreement between the entities will be terminated, and the acquisition supports Mednow’s plan to expand its national presence and digital-first pharmacy services across Canada.

Mednow Acquires Medvisit (Doctors Housecall Service)

Mednow Inc. acquired 2716725 Ontario Inc. doing business as Medvisit for $1.32 million in cash at closing plus an earn-out of up to $680,000 tied to profitability. Medvisit, Canada’s largest doctor house-call service with a network of over 100 doctors, ~30,000 patient home visits per year and a ~400,000 patient database, will be integrated with Mednow’s virtual pharmacy and telehealth services to expand in‑home care capabilities in Ontario (GTA).

PharmaCorp Rx Inc. Completes Acquisition of a Pharmacy in Western Canada

The deal is the company's fourth completed pharmacy acquisition and is being executed in conjunction with its strategic alliance with PharmaChoice Canada to grow PharmaCorp's network of bannered community pharmacies.

Medicure Inc. Acquires Marley Drug, Inc.

Medicure Inc., through its wholly-owned U.S. subsidiary Medicure Pharma Inc., agreed to acquire 100% of Marley Drug, Inc., a specialty mail-order pharmacy based in North Carolina, for an upfront USD $6.3 million plus contingent payments. Marley serves over 30,000 customers nationwide, generated approximately $7.0 million of revenue and more than $1.7 million of EBITDA for the 12 months ended October 31, 2020, and the acquisition expands Medicure's direct-to-patient distribution and specialty pharmacy capabilities in the United States.
