Alussa Energy Acquisition Corp. Completes Business Combination with FREYR AS

Alussa Energy Acquisition Corp. completed a business combination with Norway-based FREYR AS, which will operate as FREYR Battery and began trading on the NYSE under the ticker FREY. The transaction included a $600 million PIPE anchored by strategic and institutional investors (including Koch Strategic Platforms, Glencore, Fidelity, Franklin Templeton, Sylebra Capital and VanEck) and is expected to provide approximately $704 million in gross proceeds to fund FREYR's plan to develop up to 43 GWh of battery cell production capacity in Mo i Rana, Norway.

Vår Energi Acquires Neptune Energy Norge AS

Vår Energi ASA completed the acquisition of 100% of the shares in Neptune Energy Norge AS, strengthening its position on the Norwegian Continental Shelf and adding ~67 kboepd of production and ~265 mmboe of 2P reserves. The transaction was agreed at an enterprise value of USD 2.275 billion and closed on 31 January 2024 (effective date 1 January 2023); net cash consideration paid on completion (less cash in Neptune Norway) was approximately USD 1.2 billion. The deal increases Vår Energi's scale, operatorships and gas/LNG exposure and is inter-conditional with a separate transaction in which Eni acquires the remainder of Neptune's global assets.

ENERGO-PRO Acquires Xallas Electricidad y Aleaciones (Xeal) and Feroe from Sixth Street

Czech independent power producer ENERGO-PRO has acquired 100% of the share capital of Xallas Electricidad y Aleaciones, S.A.U. (Xeal) and Feroe Ventures & Investments S.L.U. from Sixth Street. The deal, financed in part with a EUR 300 million bridge loan from J.P. Morgan and Goldman Sachs, adds ten hydropower plants (167 MW) and two ferroalloy plants in Galicia and secures a pumped-storage concession pipeline to ENERGO-PRO.

Sval Energi Acquires Edison Norge

Sval Energi AS has agreed to acquire Edison Norge AS from Edison for an agreed price of USD 300 million (financially effective 1 January 2020). The acquisition adds ~25 mmboe (57% gas) to Sval’s reserve base and increases its interests in the Dvalin and Nova developments, strengthening its upstream position on the Norwegian Continental Shelf.

KGaA, together with co-investing AURELIUS entities, has agreed to acquire Panasonic's European Consumer Battery Business (Panasonic Consumer Energy) from Panasonic Europe B.V. The business, headquartered in Zellik, Belgium with manufacturing sites in Belgium and Poland, employs around 900 people and generated roughly EUR 230 million in revenue in 2019; the deal is a carve-out structured to create a standalone platform under AURELIUS.

The transaction provided approximately $235 million in gross proceeds (plus prior Series C and a $50M licensing fee from Atlas Renewable) to fund commercialization of the company’s grid-scale energy storage technologies and energy management software.
