AstraZeneca, via its Alexion Rare Disease business, has agreed to acquire clinical-stage biotechnology company Amolyt Pharma for $800 million upfront plus up to $250 million in milestone payments (total consideration up to $1.05 billion). Amolyt, based in Lyon, France (with a presence in Boston, US), is developing peptide therapeutics for rare endocrine diseases including lead asset eneboparatide (AZP-3601), currently in Phase 3; the deal is expected to close in 3Q 2024 subject to customary conditions.

Amgen Acquires Teneobio for $900M with Up to $1.6B in Milestones

Amgen agreed to acquire clinical-stage biotechnology company Teneobio for $900 million in upfront cash plus potential contingent milestone payments up to $1.6 billion. The acquisition adds Teneobio's heavy-chain antibody discovery platform, bispecific/multispecific antibody technologies and a Phase 1 T-cell engager (TNB-585), strengthening Amgen's antibody research capabilities and oncology pipeline.

Merck Acquires Acceleron Pharma for $11.5 Billion

Merck has entered into a definitive agreement to acquire Acceleron Pharma Inc. for $180 per share in cash, representing an approximate total equity value of $11.5 billion. The acquisition brings Acceleron's late-stage sotatercept program (for pulmonary arterial hypertension) and its REBLOZYL portfolio into Merck's cardiovascular pipeline, subject to tender offer completion and customary regulatory approvals.

Amgen Acquires ChemoCentryx

Biogen Acquires Human Immunology Biosciences for up to $1.8B

Biogen Inc. has agreed to acquire Human Immunology Biosciences (HI-Bio) for $1.15 billion upfront and up to $650 million in milestone payments, in a deal valued at up to $1.8 billion. The acquisition adds HI-Bio's lead asset felzartamab, an investigational anti-CD38 antibody with Phase 2 data in multiple renal immune-mediated diseases, to Biogen's immunology and rare-disease development capabilities.

Ipsen Acquires Epizyme

Ipsen has completed the acquisition of Epizyme, Inc., acquiring all outstanding shares for $1.45 per share plus a $1.00 contingent value right and bringing Epizyme's approved oncology drug Tazverik and preclinical/clinical pipeline into Ipsen. The deal adds epigenetics-focused assets including the approved EZH2 inhibitor tazemetostat and the SETD2 inhibitor candidate EZM0414 to Ipsen's oncology portfolio and integrates Epizyme employees into Ipsen's organization.
