Village Farms International Acquires 70% Stake in ROSE LifeScience

Village Farms International acquired a 70% interest in Québec-based ROSE LifeScience for total consideration of up to C$46.7 million (C$19.9 million cash and C$26.8 million in Village Farms shares). ROSE — a vertically integrated cannabis cultivator, branded product supplier and third-party commercialization/distribution partner operating a Health Canada‑licensed 55,000 sq ft CEA facility in Huntingdon, Québec — becomes Village Farms’ Québec operational unit, with ROSE management retaining a 30% interest and remaining in their roles.

Virtual Medical International Inc. agreed to acquire FarmShare, LLC, an industrial hemp cultivation and CBD processing operation based in La Grange, North Carolina, in a transaction composed of stock and cash. The deal comprises 1.5 million shares of common stock plus purchase of existing inventory for $866,750 via a promissory note; Virtual Medical said the acquisition gives it an immediate presence in the southeast U.S. and additional CBD production capacity.
