S&S Truck Parts Merges with Midwest Truck & Auto Parts

S&S Truck Parts LLC and Midwest Truck & Auto Parts Inc. have completed a merger to form a scaled aftermarket truck parts distributor, nearly doubling the combined business and expanding geographic reach and inventory capabilities. S&S, which was acquired by Investcorp in March 2022, will be led by CEO DJ Hoffman in the combined organization and expects near-term operations to continue as currently structured.

Lawson Products Acquires S&S Automotive

Lawson Products, the operating company of Distribution Solutions Group (DSG), has completed the acquisition of S&S Automotive, a Midwest-based automotive and industrial parts distributor headquartered in Woodridge, Illinois. The transaction — funded with DSG cash and its credit facility — will combine S&S with Lawson's Kent Automotive division to expand product offering, vendor-managed inventory (VMI) capabilities and geographic reach; S&S reported approximately $40 million in annual revenue and the deal is expected to be accretive to DSG's adjusted EPS and EBITDA margins.

Total Safety Acquires S&S Supplies and Solutions

SeaFort Capital has made a majority investment in Parts for Trucks, Inc., a Dartmouth, Nova Scotia-based distributor and service provider for heavy-duty truck parts operating 16 locations across Atlantic Canada and Ontario. The deal is SeaFort's first platform investment from Fund II and will support Parts for Trucks' growth strategy through new products, service expansion, greenfield initiatives and strategic acquisitions while the existing senior leadership team remains in place.

Investcorp announced a majority investment in Shearer Supply, a leading independent HVAC equipment distributor headquartered in Dallas, Texas. Shearer—founded in 1983 and operating 22 branches across the Southern U.S. serving over 5,500 contractor customers—will continue to have the Shearer family, management team and PNC Riverarch Capital as shareholders; financial terms were not disclosed. Investcorp intends to support organic growth and further geographic expansion.
