Existing investor Wynnchurch Capital sold a stake but retained a minority interest and coinvested alongside Gemspring; financial terms were not disclosed.

Grand Valley Holdings and Gemspring Capital Acquire OCI

Grand Valley Holdings and an affiliate of Gemspring Capital Management have acquired OCI, LLC, a Brookville, Pennsylvania-based manufacturer of custom foundation drilling components serving infrastructure and construction/geotechnical contractors. Gemspring's investment was made through Gemspring Growth Solutions I as a flexible, non-control capital partner; financial terms were not disclosed. The company, founded in 1998, has more than 70 employees and the buyers plan to expand OCI's footprint and service offerings.

Gemspring Capital Acquires Goodyear Chemical (Goodyear Polymer Chemicals Business)

Gemspring Capital (through an affiliate) has acquired The Goodyear Tire & Rubber Company's polymer chemicals business, including manufacturing plants in Houston and Beaumont, Texas, and an R&D facility in Akron, Ohio. Goodyear will retain certain chemical facilities in Niagara Falls, New York and Bayport, Texas; Gemspring plans to operate the acquired business as a standalone platform to accelerate product development, expand into adjacent chemical categories, and pursue growth through investment and strategic acquisitions.

MW Industries Acquires Fox Valley Spring Company

TRG founder and CEO Sean Kennedy, the Kennedy family, and the existing management team retain a significant ownership stake; Gemspring said it will provide capital and operational resources to support continued growth and strategic acquisitions.

Iowa Spring Acquires Northeast Spring

Iowa Spring, a family-owned precision spring manufacturer based in Adel, Iowa, acquired Northeast Spring of Reading, Pennsylvania, with the deal closing on September 15, 2023. The acquisition adds Northeast Spring’s Reading and Villa Rica, Georgia facilities to Iowa Spring’s group, expanding manufacturing capacity and locations while founder John O’Leary will remain for three years to support the transition.
