Bionano Genomics Acquires BioDiscovery

Bionano Genomics agreed to acquire BioDiscovery, a provider of NxClinical genomics analysis software, in a deal worth up to $100 million in cash and equity. The acquisition will integrate BioDiscovery's platform-agnostic analysis and reporting tools with Bionano's optical genome mapping technology to accelerate variant analysis and broaden Bionano's market reach; BioDiscovery founder Soheil Shams will join Bionano as Chief Informatics Officer.

Ott Scientific Acquires American Bionostica

Ott Scientific has acquired American Bionostica, Inc., a developer and manufacturer of specialty lateral flow assays; the acquisition was effective April 1 and ABI will operate inside Ott Scientific’s Ethos Biosciences subsidiary. The American Bionostica team will join Ott Scientific, with expanded research and production capacity planned at Ott Scientific’s new ISO13485/cGMP space in Logan Township, New Jersey.

BioCina and NovaCina Merge to Create Integrated Global CDMO

BioCina and NovaCina announced a strategic merger that will combine BioCina's process development and manufacturing capabilities in Adelaide with NovaCina's sterile fill-finish facility in Perth. The combined company will retain the BioCina name and provide an end-to-end CDMO offering for small molecules and biopharmaceuticals, backed by parent Bridgewest Group.

Ajinomoto Co., Inc. Acquires Forge Biologics

Ajinomoto Co., Inc. will acquire Forge Biologics in an all-cash transaction valued at $620 million, expanding Ajinomoto's gene therapy and plasmid/AAV manufacturing capabilities. Forge, a Columbus, Ohio–based viral vector and plasmid CDMO with a 200,000 sq ft cGMP facility and ~300+ employees, will become a consolidated subsidiary to accelerate global gene and cell therapy manufacturing capacity.

Bayer AG Acquires Asklepios BioPharmaceutical (AskBio)

Bayer AG agreed to acquire U.S.-headquartered Asklepios BioPharmaceutical (AskBio), adding AskBio's AAV-based gene therapy platform, IP and CDMO manufacturing capabilities to Bayer’s emerging cell and gene therapy unit. Bayer will pay $2.0 billion upfront plus up to $2.0 billion in potential milestone payments; existing minority shareholders TPG Capital and Vida Ventures supported the transaction.

Shionogi Inc. Acquires Qpex Biopharma, Inc.

Shionogi Inc., the U.S. subsidiary of Shionogi & Co., Ltd., entered into a definitive agreement to acquire San Diego-based clinical-stage antimicrobial developer Qpex Biopharma, Inc. The acquisition (upfront $100 million plus up to $40 million in milestones) brings Qpex's investigational beta-lactamase inhibitor xeruborbactam and expands Shionogi's infectious disease R&D capabilities and pipeline.
