Kerry Group to Acquire Lactase Enzyme Business from Chr. Hansen and Novozymes

Kerry Group PLC has agreed to acquire part of the global lactase enzyme business carved out from Chr. Hansen Holding A/S and Novozymes A/S for a total consideration of €150 million (subject to closing adjustments). The deal includes certain trade and assets of Chr. Hansen's global lactase business and 100% of Nuocheng Trillion Food (Tianjin) Co., Ltd.; the lactase business generated about €40 million in revenue in 2022 and the transaction is expected to close in the first half of 2024 subject to European Commission approval.

Novozymes and Chr. Hansen Combine to Form Novonesis

On January 29, 2024 Novozymes and Chr. Hansen completed a statutory merger to create Novonesis, a global biosolutions company focused on enzymes, cultures and microbial solutions. The combined group will employ around 10,000 people worldwide and have pro forma annual revenue of approximately EUR 3.7 billion, with targeted synergies across food & health and planetary health portfolios.

A.P. Moller Holding Acquires Unilabs from Apax Partners

A.P. Moller Holding A/S has signed an agreement to acquire Unilabs from funds advised by Apax Partners. Unilabs is a Swiss-based diagnostics provider operating clinical labs, pathology and imaging centres across Europe and beyond, with about 12,600 employees, roughly EUR 2.0bn revenue and EUR 600m EBITDA (12 months ending Sept 2021); transaction terms were not disclosed and is subject to regulatory approval.

Bora Pharmaceuticals Acquires Upsher-Smith Laboratories

Bora Pharmaceuticals completed a 2024 acquisition of Upsher-Smith Laboratories for $210 million and is expanding the Maple Grove, Minnesota manufacturing site with a multi-year buildout. The investment includes installation of a Gerteis Macro-Pactor (operational Q3 2025) and development of 100,000 square feet of shell space to boost oral solid dose (OSD) contract development and manufacturing capabilities.

USANA Health Sciences Acquires 78.8% Stake in Hiya Health

USANA Health Sciences acquired a 78.8% controlling stake in Hiya Health Products, LLC for approximately $205 million in cash, closing December 23, 2024. The acquisition expands USANA's direct-to-consumer presence in the children's health and wellness market and is expected to be accretive to USANA's 2025 adjusted EBITDA.

Heska Corporation Acquires Biotech Laboratories U.S.A. LLC to Enter Rapid Assay Veterinary Diagnostics Market

Heska Corporation acquired majority ownership of Biotech Laboratories U.S.A. LLC, a Rockville, Maryland developer of rapid point-of-care lateral flow diagnostics for animals. The acquisition (closed Sept. 1, 2021) brings Biotech's rapid assay pipeline, manufacturing expertise and IP into Heska's product portfolio as the company moves to launch a full line of single-use rapid assays for veterinarians and livestock producers.
