AbbVie Acquires Nimble Therapeutics in $200 Million Deal

AbbVie announced and later completed the acquisition of Nimble Therapeutics for $200 million in cash at closing, plus interim funding and potential development milestone payments to Nimble shareholders. The deal adds Nimble’s preclinical oral peptide IL23R inhibitor for psoriasis/IBD and its proprietary peptide synthesis, screening, and optimization platform to strengthen AbbVie’s immunology pipeline and R&D capabilities.

AbbVie Acquires Syndesi Therapeutics

AbbVie has acquired Syndesi Therapeutics for up to US$1.0 billion, including US$130 million upfront, to strengthen its neuroscience portfolio and accelerate Syndesi's lead SV2A program SDI-118 into later-stage development. Syndesi was a Novo Seeds / UCB spin-out backed by Novo Holdings and a syndicate of Belgian and international investors.

Merck to Acquire Acceleron Pharma Inc for $11.5B

Merck (through a subsidiary) entered into a definitive agreement to acquire Acceleron Pharma Inc for $180 per share in cash, for an approximate total equity value of $11.5 billion. The transaction will be completed via a tender offer followed by a merger, and is expected to close in the fourth quarter of 2021, subject to conditions including regulatory approvals and tender of at least a majority of outstanding shares.

Amgen Acquires Teneobio for $900M with Up to $1.6B in Milestones

Amgen agreed to acquire clinical-stage biotechnology company Teneobio for $900 million in upfront cash plus potential contingent milestone payments up to $1.6 billion. The acquisition adds Teneobio's heavy-chain antibody discovery platform, bispecific/multispecific antibody technologies and a Phase 1 T-cell engager (TNB-585), strengthening Amgen's antibody research capabilities and oncology pipeline.

Merck & Co., Inc. Acquires VelosBio Inc.

Merck & Co., Inc. will acquire all outstanding shares of clinical-stage biopharmaceutical company VelosBio for $2.75 billion in cash. The acquisition adds VelosBio's lead investigational antibody-drug conjugate VLS-101 and ROR1-directed pipeline assets to Merck's oncology portfolio and is expected to close by the end of 2020, subject to customary conditions.

Gilead Sciences Acquires MiroBio

Gilead Sciences completed the acquisition of U.K.-based biotechnology company MiroBio for approximately $405 million in cash. The deal gives Gilead MiroBio's discovery platform and portfolio of immune inhibitory receptor agonists, including lead investigational antibody MB272, which is in Phase 1 clinical trials.
