SMBC Aviation Capital Acquires Goshawk Management Ltd.

SMBC Aviation Capital completed the acquisition of Dublin-based aircraft lessor Goshawk Management Ltd., creating the second-largest global aircraft lessor by number of aircraft and the largest Japanese-owned lessor. The combined business operates a portfolio of over 700 owned and managed aircraft (with additional new-technology narrowbody orders) and is positioned to benefit from a sector recovery through enhanced scale and funding advantages.

JA Mitsui Leasing Acquires Katsumi Global, LLC

Apollo, J.F. Lehman & Hill City Capital Acquire Atlas Air Worldwide for $5.2 Billion

An investor group led by funds managed by affiliates of Apollo, together with J.F. Lehman & Company and Hill City Capital, acquired Atlas Air Worldwide for an enterprise value of approximately $5.2 billion, paying $102.50 per share in cash. Atlas Air Worldwide will become privately held and continue operating under its existing leadership to accelerate execution of its strategic plan and capitalize on long-term demand for global air cargo services.

Carlyle Aviation Partners Acquires Fly Leasing Limited

An affiliate of Carlyle Aviation Partners completed the acquisition of Fly Leasing Limited for $17.05 per share, taking the company private. The transaction values Fly Leasing at approximately $520 million (with an enterprise value of roughly $2.36 billion) and adds 84 aircraft (on lease to 37 airlines) to Carlyle Aviation's managed portfolio.

Mitsubishi HC Capital Acquires CAI International

CAI International agreed to be acquired by Mitsubishi HC Capital Inc. (MHC) in an all-cash transaction valued at $1.1 billion equity value ($2.9 billion enterprise value), paying $56.00 per share to CAI shareholders. CAI stockholders approved the merger, and the deal is expected to close in late Q3 or early Q4 2021, after customary closing conditions including a required “migration” of certain subsidiaries to the United States.
