California Resources Corporation Completes Combination with Aera Energy

California Resources Corporation (CRC) completed an all-stock combination with Aera Energy, LLC, creating a larger California-focused oil producer and carbon management platform. The transaction issued 21.3 million CRC shares to Aera's former equity owners (IKAV, CPPIB and Oaktree), produces pro forma net daily output of ~146 Mboe/d, and CRC expects $150 million in annual synergies within 15 months.

Cerity Partners Merges with EMM Wealth

KKR Acquires Majority Stake in ERM from OMERS Private Equity and AIMCo

KKR has signed an agreement to acquire a majority position in Environmental Resources Management (ERM) from OMERS Private Equity and Alberta Investment Management Corporation (AIMCo), with ERM management and Partners remaining minority investors. The transaction, intended to accelerate ERM's growth and broaden its sustainability capabilities and technologies, is expected to close in Q3 2021 subject to regulatory approvals; financial terms were not disclosed.

TransAlta Corporation to Acquire TransAlta Renewables Inc.

TransAlta Corporation has entered into a definitive arrangement agreement to acquire all outstanding common shares of TransAlta Renewables Inc. not already owned by TransAlta, offering RNW shareholders either TransAlta shares or $13.00 in cash (subject to proration). The deal is intended to simplify corporate structure, align a single clean‑electricity growth strategy and create a larger, more diversified independent power producer; closing is subject to shareholder, court and regulatory approvals.

Ares Management Acquires Dynamic Renewables with Minority Investment from NorthWestern Energy

A fund managed by Ares Management's Infrastructure Opportunities strategy has acquired Dynamic Renewables, a U.S.-based developer, owner and operator of anaerobic digestion and renewable natural gas (RNG) projects. An unregulated affiliate of NorthWestern Energy also took a small minority stake; the investments will support development, construction and expansion of Dynamic's pipeline and operating assets, including the BC Organics facility in Wisconsin.

Ara Energy Acquires Gate City Power, Gate City Renewable Fuels, and Interest in JET Retail Fuel Network (~$875 Million)

Ara Partners’ energy platform, Ara Energy, will acquire Gate City Power, Gate City Renewable Fuels, and an interest in the JET retail fuel network for approximately $875 million. The deal is financed with equity from Ara-managed funds and co-investment vehicles and is expected to close in early 2026, subject to regulatory approvals and customary closing conditions.
