Myconic Capital Corp. (MEDI) entered into a letter of intent to acquire 100% of Integrated Rehab and Performance Ltd. (IRP), a Victoria, British Columbia multidisciplinary physical therapy clinic that specializes in care for veterans, RCMP and first responders. The transaction contemplates payment in MEDI common shares, retention of IRP's CEO, and the introduction of ketamine-assisted therapies and expansion of IRP's clinic network in British Columbia; subsequent press releases indicate Ketamine One signed and closed a definitive agreement to acquire IRP.

Blackhawk Growth Corp Acquires Trip Pharma Inc.

Blackhawk Growth Corp. completed the acquisition of all outstanding shares of Trip Pharma Inc., an Edmonton-based psychedelic development and wellness company led by Dr. Krista Leicht. The transaction was satisfied largely with issuance of common shares to Trip Pharma shareholders and brings Trip Pharma into Blackhawk's existing healthcare/cannabis investment portfolio as it pursues clinical research and a psychiatric research clinic focused on psilocybin-based therapies.

KKR Acquires Majority Interest in Therapy Brands

KKR has agreed to acquire a majority interest in Therapy Brands, a Birmingham-based practice management and EHR software platform for mental, behavioral and rehabilitation healthcare providers. Existing investor PSG will remain a minority shareholder, and sellers include investment funds affiliated with Lightyear Capital, Oak HC/FT and Greater Sum Ventures; financial terms were not disclosed.

Revive Therapeutics Agrees to Acquire Psilocin Pharma Corp.

Revive Therapeutics Ltd. entered into a letter of intent to acquire all issued and outstanding securities of Psilocin Pharma Corp. for an aggregate purchase price of $2.75 million to be satisfied by issuing 55 million common shares of Revive (deemed $0.05/share). Revive deposited 10 million shares ($500,000) into escrow as a deposit; the closing is subject to due diligence and execution of a definitive share exchange agreement.

BR Brands Acquires Mary's Brands (Mary's Medicinals)

The deal expands BR Brands' portfolio and manufacturing capabilities as part of a buy-and-build strategy to scale premium cannabis CPG brands across multiple U.S. markets.

Cybin Inc. Acquires Small Pharma Inc.
