Midfed Acquisition Corp. Acquires Midland Capital Holdings Corporation (Midland Federal)

Midfed Acquisition Corp., led by bank executives and investors, has acquired Midland Capital Holdings Corporation, the holding company of Midland Federal Savings and Loan Association, in a transaction that paid $31.65 per share and resulted in MCPH delisting from the OTC Pink Market. The deal gives the new owners control of Midland Federal’s four Illinois branches and is intended to expand product offerings, enhance technology and improve community convenience for the bank’s customers.

(NASDAQ: FMBH) agreed to acquire Delta Bancshares Company, the parent of Jefferson Bank and Trust, in a transaction valued at approximately $106.3 million in aggregate consideration (cash and stock). In a separate agreement, First Mid also agreed to acquire approximately $225 million in loans and $280 million in deposits plus the relationship team from a separate St. Louis-area financial institution, expanding First Mid's presence in the St. Louis market.

First Mid Bancshares Acquires Blackhawk Bancorp

The transaction expands First Mid's footprint with Blackhawk's 10 branches in Wisconsin and Illinois, is expected to close in the second half of 2023 subject to regulatory and shareholder approvals, and is projected to be accretive to EPS with significant cost savings and liquidity benefits.
