BioCryst Pharmaceuticals has completed its acquisition of Astria Therapeutics for an implied transaction value of approximately $700 million, financed with cash on hand and a ~$396.6 million facility provided by funds managed by Blackstone plus ~37.3 million BioCryst shares issued to Astria equity holders. The deal adds Astria's Phase 3 long-acting plasma kallikrein inhibitor navenibart to BioCryst's hereditary angioedema (HAE) portfolio and provides Astria's early-stage atopic dermatitis program (STAR0310) for which BioCryst will pursue strategic alternatives.

Merck Acquires Acceleron Pharma for $11.5 Billion

Merck has entered into a definitive agreement to acquire Acceleron Pharma Inc. for $180 per share in cash, representing an approximate total equity value of $11.5 billion. The acquisition brings Acceleron's late-stage sotatercept program (for pulmonary arterial hypertension) and its REBLOZYL portfolio into Merck's cardiovascular pipeline, subject to tender offer completion and customary regulatory approvals.

Merck to Acquire EyeBio for up to $3 Billion

Merck (through a subsidiary) will acquire Eyebiotech Limited (EyeBio) for up to $3.0 billion — $1.3 billion upfront in cash plus up to $1.7 billion in development, regulatory and commercial milestones. The acquisition—expected to close in Q3 2024 and to be accounted for as an asset acquisition—adds EyeBio's ophthalmology-focused pipeline, including lead candidate Restoret (EYE103), to Merck's growing ophthalmology presence.

Biogen Acquires Alcyone Therapeutics

Biogen has acquired Alcyone Therapeutics to obtain the ThecaFlex DRx intrathecal drug‑delivery system, integrating Alcyone employees into Biogen’s product delivery solutions team. Alcyone will receive $85 million upfront plus contingent milestone payments; Biogen will handle development, commercialization and manufacturing of ThecaFlex DRx while Alcyone’s remaining therapeutic assets are being divested into Neela Therapeutics.

Pfizer Acquires Biohaven Pharmaceutical Holding Company Ltd.

Pfizer Inc. completed the acquisition of Biohaven Pharmaceutical Holding Company Ltd. for approximately $11.6 billion (at $148.50 per share), bringing the migraine therapy NURTEC ODT (rimegepant), the zavegepant NDA program, and a CGRP-focused pipeline into Pfizer's Internal Medicine portfolio. Prior to closing, Biohaven spun off its non-CGRP assets into a separate publicly traded company, Biohaven Ltd., which Pfizer received a small pro rata stake in.

Gilead Sciences Acquires CymaBay Therapeutics for $4.3 Billion

Gilead Sciences has completed the acquisition of CymaBay Therapeutics for approximately $4.3 billion, paying $32.50 per share in cash. The deal adds CymaBay's investigational PPARδ agonist seladelpar for primary biliary cholangitis (PBC) to Gilead's liver-disease portfolio and is expected to accelerate development and potential commercialization of the therapy.
