Butte Energy to Acquire Golden Minerals' Silex Argentina Silver Project

Golden Minerals Company has signed a definitive agreement to sell its wholly owned subsidiary, Silex Argentina S.A., to Butte Energy Inc. Butte will acquire 100% of Silex, which owns Golden’s El Quevar silver project in Salta Province, Argentina, for $3.5 million in cash, subject to regulatory approvals.

The April 1, 2025 agreement transferred Minera Cordilleras' capital contribution accounts (CUCAs), net operating losses and five Mexican mining concessions; Golden Minerals said all funds related to the sale have been received.

Under the arrangement each Sabre share was exchanged for 0.693 Minera Alamos common shares (resulting in 76,499,114 Minera shares issued) and Minera filed an Early Warning Report reflecting its increase in beneficial ownership from 0% to 100%.
