Chicago Atlantic and Vireo Growth Agree to Merge and Acquire Cannabis Operators (Including Arches JV and The Flowery)

Chicago Atlantic (as Vireo’s largest stockholder) and Vireo Growth executed definitive merger agreements to combine with three single-state cannabis operators: Proper Cannabis (Missouri), Deep Roots Harvest (Nevada), and WholesomeCo Cannabis (Utah). The deal also includes an acquisition of the Arches analytics and distribution technology platform joint venture between Wholesome and Proper, and Vireo signed a binding memorandum of understanding to acquire The Flowery (Florida). The combined transactions are valued collectively at about $397 million, subject to customary approvals.

The deal adds four retail dispensaries (Phoenix, Tucson, Peoria, Sedona) plus ~63,500 sq. ft. of adjacent cultivation and processing space in north Phoenix; Curaleaf will pay $51 million cash at close and the remainder via three promissory notes, and Bloom generated estimated 2021 revenue of ~$66 million with EBITDA margins above 40%.

MJ Freeway Acquisition Co Acquires Akerna's Cannabis Software Business (MJ Platform, Leaf Data Systems, Ample Organics)

Akerna will sell its cannabis software business — including MJ Platform, Leaf Data Systems and Ample Organics — to MJ Freeway Acquisition Co for $5.0 million, with Alleaves participating in financing; the closing is planned to coincide with Akerna's merger with Gryphon Digital Mining. POSaBIT had earlier entered into a definitive agreement to acquire the same assets but Akerna terminated that agreement after receiving an alternative offer. The deal allows Akerna to divest its software business ahead of the Gryphon merger while enabling Alleaves / MJ Acquisition Co to expand their cannabis software and ERP capabilities.
