One Equity Partners (OEP) has entered into an agreement to acquire Clayens NP, a value-added outsourced contract manufacturer of high-performance polymers, composites and precision metals, from a group of investors led by Siparex. Siparex, its co-investors, and Clayens management will reinvest alongside OEP to continue as minority partners.

Stonebridge Partners completed a recapitalization of Architectural Polymers, a Palmerton, Pennsylvania-based manufacturer of urethane and plastic formliners, partnering with founder Marshall Walters who remains CEO and largest shareholder. Debt and subordinated debt/equity financing was provided by Bank of Montreal, Brookside Capital Partners, Parkway Capital, and Spring Capital Partners to support the transaction and accelerate the company’s expansion in the concrete formliner market.

Intermediate Capital Group (ICG) Acquires Seaway Plastics Engineering

ICG plans to support Seaway's organic growth and pursue add-on acquisitions to expand product capabilities and geographic footprint; financial terms were not disclosed.

The Jordan Company Acquires Potters Industries

The Jordan Company L.P. (through an affiliate) closed its acquisition of Potters Industries, LLC, the Performance Materials segment of PQ Group Holdings, Inc. Potters is a global manufacturer of engineered glass materials (notably glass microspheres and highway-safety beads) with a network of 28 production facilities; TJC said it will support Potters' growth through organic initiatives and selective acquisitions.
