KPS Forms Primient to Acquire Tate & Lyle's Primary Products Business

KPS Capital Partners agreed to acquire a controlling stake in Tate & Lyle’s Primary Products business and, together with Tate & Lyle, formed NewCo (Primient) to own the assets for an enterprise value of $1.7 billion. The transaction (a divestiture of Tate & Lyle’s Primary Products unit) creates an independent platform focused on nutritive sweeteners, industrial starches and other corn-derived ingredients, with KPS holding operational control and Tate & Lyle retaining a ~50% ownership stake.

Primient Acquires Primient Covation

Terms were not disclosed; the acquisition integrates Primient Covation's plant-based diols into Primient's sustainable ingredients portfolio to expand capability and market offerings. The move is intended to generate operational synergies and accelerate development and scale-up of sustainable bio-based materials.

KPS Capital Partners agreed to acquire INEOS Composites from INEOS Enterprises for approximately €1.7 billion and has completed the transaction, creating a standalone company now named Alta Performance Materials. Alta is a global manufacturer of unsaturated polyester resins, vinyl ester resins and gelcoats with ~900 employees and 17 manufacturing facilities; KPS intends to invest in manufacturing excellence, R&D and growth.
