Emerson entered into a definitive agreement to contribute its industrial software businesses—OSI Inc. and its Geological Simulation Software business—to AspenTech to form a new, diversified industrial software company (“new AspenTech”). Emerson would receive a 55% stake in new AspenTech, contributing $6.0 billion in cash, while AspenTech shareholders receive cash and shares in the combined company; the transaction was later successfully closed.
