Enterprise Products Partners Acquires Navitas Midstream Partners

Enterprise Products Partners L.P. (through an affiliate) agreed to acquire Navitas Midstream Partners, LLC for $3.25 billion in a debt-free, all-cash transaction. The deal gives Enterprise a foothold in natural gas gathering, treating and processing in the core of the Midland Basin of the Permian. Enterprise later announced the acquisition was completed.

Dallas-based private-equity firm Tailwater Capital agreed to acquire NorTex Midstream Partners LLC, a Houston-based natural-gas storage and midstream operator. The acquisition gives Tailwater ownership of NorTex’s underground storage capacity (about 36 billion cubic feet), a trading hub and roughly 83 miles of pipeline near the Dallas–Fort Worth area to support gas-fired power generation as a complement to renewable energy.

MPLX LP has completed its $2.375 billion acquisition of Northwind Delaware Holdings LLC (Northwind Midstream), a sour gas gathering, treating and processing business in Lea County, New Mexico. The deal expands MPLX’s Permian natural gas and NGL value chains and supports system capacity growth, including expansion projects expected to increase sour gas treating capacity to 440 MMcf/d in 2026.

Laird Superfood to Acquire Navitas Organics (Backed by Nexus Capital)

Laird Superfood, Inc. has entered into an agreement to acquire Navitas Organics via the acquisition of Navitas LLC for $38.5 million in cash, subject to customary purchase price adjustments. The transaction is supported by an investment from Nexus Capital in the form of a $50 million convertible preferred equity investment, which Laird says will help fund the deal.

Energy Transfer LP agreed to acquire WTG Midstream Holdings LLC in a transaction valued at approximately $3.25 billion, comprising $2.45 billion in cash and ~50.8 million newly issued Energy Transfer common units. The deal, from affiliates of Stonepeak, the Davis Estate and Diamondback Energy, adds WTG's Permian-focused midstream assets — including a 6,000-mile pipeline network, eight processing plants (≈1.3 Bcf/d) and a 20% interest in the BANGL NGL pipeline — to Energy Transfer's footprint to enhance its gas/NGL supply, processing and downstream capabilities.

Enbridge Acquires Moda Midstream Operating for US$3.0 Billion

Enbridge Inc. has completed the acquisition of Moda Midstream Operating from Encap Flatrock Midstream for US$3.0 billion, gaining a 100% operating interest in the Ingleside Energy Center and associated pipeline and logistics assets. The deal also gives Enbridge a 20% interest in the Cactus II Pipeline and advances its U.S. Gulf Coast export strategy and connectivity to Permian and Eagle Ford reserves.
