Ethos Capital, BCI and White Mountains Acquire Ownership Position in BroadStreet Partners (with Ontario Teachers' Co-Control)

BroadStreet Partners, a North American middle-market insurance brokerage, announced that an investor group led by Ethos Capital, British Columbia Investment Management Corporation (BCI), and White Mountains Insurance Group will acquire an ownership position in BroadStreet. Ontario Teachers’ Pension Plan will maintain a significant co-control stake and operate in partnership with the Ethos-led investor group.

White Mountains Insurance Group agreed to invest $605 million of equity (at a $300 million pre-money valuation) and purchase $41 million of shares from existing owners to acquire a majority interest in Ark Insurance Holdings, the parent of Ark Syndicate Management Ltd. The capital raise will give White Mountains ~72% ownership at closing (63% fully diluted), with a commitment to contribute up to an additional $200 million in 2021 to substantially expand Ark's Lloyd's capacity, convert its Bermuda reinsurance entity, and hire underwriting talent.

White Mountains Insurance Group has signed a definitive agreement to sell a controlling interest in Bamboo, a data-enabled insurance distribution platform focused on homeowners’ insurance in California and Texas, to funds advised by CVC Capital Partners. The deal values Bamboo at $1.75 billion, with White Mountains retaining about a 15% fully-diluted equity stake post-closing; the transaction is expected to close by the end of Q4 2025 subject to regulatory approvals.
