Qvantel Oy completed its acquisition of Optiva Inc. via a statutory plan of arrangement, acquiring all issued and outstanding common shares of Optiva. The transaction paid Optiva shareholders C$0.25 per common share, cancelled Optiva's US$108.6 million PIK notes with consideration to noteholders (including purchaser shares, purchaser-issued senior secured notes and warrants), and will result in Optiva being dissolved and delisted from the Toronto Stock Exchange. The combined company expands Qvantel's telecom monetization and digital operations portfolio and supports more than 70 operators with a global workforce exceeding 1,000 professionals.

Marlowe plc Acquires Optima Health Group for £135 million

Marlowe plc has entered into a binding agreement to acquire Optima Health Group Limited for £135 million, funded mainly via a proposed placing of new shares. Optima, headquartered in Redditch, is a leading UK provider of technology-enabled occupational health and employee wellbeing services with c.1,000 employees and strong recurring revenues; Marlowe expects the deal to be accretive and to generate at least £2m of synergies in the first 12 months.

Simplicity Group Acquires Optima Financial & Insurance Services

EssilorLuxottica Acquires Optical Investment Group (Romania)

EssilorLuxottica has agreed to acquire the entire share capital of Optical Investment Group (OIG), Romania’s leading optical retailer, from Innova/6 (an Innova Capital fund) and a group of individual minority shareholders. OIG operates 99 stores under the OPTIblu, Optiplaza and O51 banners, with over 650 employees; the transaction is expected to close in Q4 2024 subject to regulatory approvals.
