Gemspring Capital to Acquire (and Later Completes Acquisition of) Goodyear’s Polymer Chemicals Business

Gemspring Capital Management announced that an affiliate entered into a definitive agreement to acquire The Goodyear Tire & Rubber Company’s polymer chemicals business. The deal was structured around two manufacturing plants in Houston and Beaumont, Texas, and an R&D facility in Akron, Ohio, with Goodyear retaining certain chemical facilities. The acquisition was later completed on November 3, 2025.

The Yokohama Rubber Company to Acquire Goodyear’s Off-the-Road (OTR) Tire Business

Goodyear Tire & Rubber has signed a definitive agreement to sell its Off-the-Road (OTR) tire business to The Yokohama Rubber Company for $905 million in cash. The deal is subject to regulatory approvals and customary closing conditions and is expected to close by early 2025, with Goodyear retaining OTR tire supply for U.S. military and defense applications via a product supply arrangement.
