GI Partners Acquires Majority Stake in American Residential Services; Charlesbank and Management Reinvest

GI Partners is making a majority investment in American Residential Services (ARS), with existing investor Charlesbank Capital Partners and ARS management also making significant new investments. ARS, based in Memphis, Tennessee, operates more than 70 locally managed service centers across 23 states with approximately 6,500 employees and is the largest residential HVAC and plumbing services provider in the U.S. GI Partners said it will work with management and Charlesbank to accelerate growth and expand ARS’s national footprint both organically and via add-on acquisitions; the transaction is expected to close in Q4 2020.

AssuredPartners Acquires Surety Solutions Insurance Services, Inc.

The 15-person agency, which reports approximately $3.3 million in annualized revenue, will continue to operate under John Page and Ryan Tash as part of AssuredPartners' nationwide insurance brokerage platform.

Arthur J. Gallagher & Co. Acquires AssuredPartners for $13.45B

Arthur J. Gallagher & Co. agreed to acquire AssuredPartners in a $13.45 billion all-cash transaction, buying stakes held by private equity investors. AssuredPartners is a large insurance brokerage with c.10,900 colleagues and ~400 offices across the U.S., the United Kingdom and Ireland; the deal expands Gallagher's brokerage scale and capabilities and is subject to customary regulatory approvals.

The Esser Hayes team of 103 employees (reporting about $18 million in annualized revenue) will remain under current leadership and join AssuredPartners to accelerate regional growth and expand capabilities in commercial, personal and benefits insurance.
