Novo Nordisk Acquires Cardior Pharmaceuticals from EQT Life Sciences

Novo Nordisk has agreed to acquire Cardior Pharmaceuticals for up to EUR 1.025 billion, including an upfront payment and contingent development and commercial milestone payments. Cardior, a Hannover-based clinical-stage biotech focused on RNA-targeted therapies for cardiovascular disease, is currently majority-backed by EQT Life Sciences; the deal is expected to close in Q2 2024 subject to regulatory approvals.

Novartis Acquires DTx Pharma

Novartis has acquired DTx Pharma, a San Diego–based preclinical biotechnology company, for an upfront payment of USD 500 million plus contingent milestone payments. The deal brings DTx's FALCON siRNA delivery platform and lead program DTx-1252 (orphan-designated for CMT1A) into Novartis to strengthen its neuroscience pipeline and xRNA capabilities.

Danaher Acquires Aldevron for $9.6 Billion

Danaher Corporation entered into a definitive agreement to acquire Aldevron from EQT Private Equity for an enterprise value of approximately USD 9.6 billion. Aldevron, headquartered in Fargo, North Dakota with ~600 employees and additional operations in Madison, Wisconsin, will operate as a standalone company within Danaher's Life Sciences segment to expand Danaher's capabilities in genomic medicine and biologics manufacturing.

Ono Pharmaceutical Acquires Deciphera Pharmaceuticals for ~$2.4B

Ono Pharmaceutical Co., Ltd. completed a tender offer and merger to acquire all outstanding shares of Deciphera Pharmaceuticals, paying $25.60 per share for a total consideration of approximately $2.4 billion. Deciphera becomes a wholly owned subsidiary of Ono; Ono said the acquisition will strengthen its oncology R&D capabilities and commercialization footprint in the United States and Europe to accelerate pipeline and global expansion.

Novo Nordisk Acquires Forma Therapeutics for $1.1 billion

Novo Nordisk agreed to acquire clinical-stage biopharmaceutical company Forma Therapeutics for $20 per share in cash, valuing the deal at approximately $1.1 billion. The purchase adds Forma's lead candidate etavopivat and strengthens Novo Nordisk's pipeline in sickle cell disease and other rare blood disorders; the transaction is being effected via a tender offer and is expected to close in Q4 2022, subject to customary conditions and regulatory approvals.

Merck & Co. Acquires Cidara Therapeutics

Merck & Co., through subsidiary Merck Sharp & Dohme LLC, completed a cash tender offer to acquire Cidara Therapeutics, Inc. for $221.50 per share, making Cidara a wholly owned subsidiary. The acquisition adds Cidara's long-acting antiviral candidate CD388 to Merck's respiratory portfolio and is being accounted for as an asset acquisition.
