Swanson Industries Acquires TransAxle's Off-Highway Business

Swanson Industries, a portfolio company of Turnspire Capital Partners, has acquired the Off-Highway Business of TransAxle Holdings, LLC. The acquired business — a U.S.-based remanufacturer of transmissions, differentials, hydraulics, axles and brake systems with locations in Pennsauken, New Jersey and Garner, North Carolina — will be rebranded as the Swanson Off-Highway division to expand Swanson's capabilities and service capacity in core end markets such as mining, construction and aerospace.

Andra Tech Group (backed by Castik Capital) Acquires Innotec Zerspanungstechnik GmbH

Andra Tech Group has acquired 100% of Innotec Zerspanungstechnik GmbH, a precision-machining manufacturer based in Sinsheim, Germany; financial terms were not disclosed and managing directors Jörg and Björn Leichenich will remain in place. Innotec’s ~75 employees serve medical, optics, high-tech systems and semiconductor customers; the acquisition expands Andra Tech Group’s German footprint and capabilities and is supported by funds managed by Castik Capital, which acquired a majority stake in Andra Tech Group in September 2024.

ATC Drivetrain Acquires H.L. Smith Transmissions Ltd

Farmington Hills-based ATC Drivetrain has acquired H.L. Smith Transmissions Ltd (HLS), a UK-based remanufacturer of heavy-duty commercial vehicle transmissions and steering systems. The deal adds HLS’s 85,000 sq. ft. remanufacturing facility and expands ATC’s geographic reach, capabilities and access to commercial vehicle and military end markets in Europe; the seller Russell Smith will retire following the transaction.

Bain Capital-led Consortium to Acquire ITP Aero from Rolls‑Royce

Rolls‑Royce has signed a definitive agreement to sell 100% of ITP Aero to a Bain Capital Private Equity‑led consortium, including Spanish co‑investors SAPA and JB Capital, for approximately €1.7 billion. The sale is part of Rolls‑Royce’s disposal programme to raise proceeds and will position ITP Aero as an independent, growth‑focused aerospace supplier headquartered in the Basque Country, Spain; the transaction is expected to close in H1 2022 subject to regulatory approvals.

Angstrom Automotive Group Acquires Engineering Tube Specialties, Inc.
