Rubicon Technology, Inc. (OTCQB: RBCN) has completed the acquisition of Janel Group LLC from Janel Corporation (OTCQX: JANL), making Janel Group a wholly owned subsidiary of Rubicon. The transaction was effected in exchange for 7,000,000 shares of Rubicon common stock, with Rubicon assuming approximately $23 million of Janel Group indebtedness and gaining access to $35 million in borrowing capacity; Janel Group (Garden City, New York) reported approximately $181.3 million of revenue for the 12 months ended June 30, 2025.

NUBURU Acquires Initial Stake in Tekne S.p.A. and Launches U.S. Defense JV

NUBURU, Inc. acquired an initial minority stake (3%) in Italian defense vehicle and electronics manufacturer Tekne S.p.A. and launched an 80/20 U.S.-based joint venture (Nuburu Defense and Tekne) to execute an immediate $7.5 million backlog of non-Italian contracts, manufacture Tekne product lines for the Americas, and co-develop new defense technologies. The transaction is structured as a phased acquisition (via a Luxembourg vehicle, TCEI) that contemplates up to a 70% controlling interest in Tekne and includes commitments to finance up to €40 million of Tekne working capital while complying with Italian Golden Power requirements.
