AmerisourceBergen Corporation signed a definitive agreement to acquire PharmaLex Holding GmbH, a Germany-headquartered provider of specialized life-sciences services, for €1.28 billion in cash. The deal is positioned to expand AmerisourceBergen’s global biopharma services platform across the pharmaceutical development and commercialization journey. The transaction ultimately closed at year-end 2022.

Dipharma Inc. Merges Kalexsyn, Inc. into Parent to Complete Integration

Dipharma Inc., part of the Dipharma Group, has merged Kalexsyn, Inc. (a Michigan corporation acquired in 2018) into its 100% owner, Dipharma Inc., effective January 1, 2022. The merger completes Kalexsyn's formal integration and strengthens Dipharma's U.S. cGMP and CRO capabilities in Kalamazoo to support services from discovery through commercialization.

KRTL Biotech (KRTL Holding) Acquires Majority Interest in Sigma Corp (Bolivia)

KRTL Biotech, a wholly owned subsidiary of KRTL Holding Group, Inc., completed a merger-by-exchange to acquire 99% of Industria Químico Farmacéutica Sigma Corp. S.R.L. (SIGMA), a Bolivian pharmaceutical manufacturer. The Wilstermann Family received 490,000,000 KRTL Biotech common shares (49% of KRTL Biotech) and Patricia Wilstermann received a preferred share and a permanent board seat; SIGMA will be consolidated into KRTL Biotech's financials under U.S. GAAP.

Pfizer's Hospital Business Acquires Arixa Pharmaceuticals

Pfizer’s Hospital Business acquired Arixa Pharmaceuticals to advance development of Arixa’s lead oral prodrug ARX-1796, a potential oral beta-lactamase inhibitor + antibiotic combination. Financial terms were not disclosed; Arixa was a virtual, asset-light company based in Palo Alto and was advised by Four Oaks Partners on the transaction.

Jabil Acquires Pharmaceutics International (Pii)

Jabil has acquired Pharmaceutics International (Pii), a Hunt Valley, Maryland-based contract development and manufacturing organization (CDMO) that provides aseptic filling, lyophilization and oral solid dose manufacturing. The all-cash transaction represents an exit for a consortium led by Signet Healthcare Partners, Athyrium Capital Management, Hildred Capital and Pharmascience Inc., and brings Pii’s ~300+ employees and four-site campus into Jabil’s Pharmaceutical Solutions offering to expand its drug development and manufacturing capabilities.
