Ampersand Capital Partners, a healthcare-focused private equity firm, has acquired Biologos LLC, a Glendale Heights, Illinois-based manufacturer of custom and standard cell culture media, reagents, buffers, enzymes, and sera. Ampersand will invest to expand Biologos' capabilities, product offerings, and geographic reach, and has appointed Frank Witney as Chairman with two Ampersand principals joining the board.

AnaBios Acquires Cell Systems

AnaBios Corporation has acquired Cell Systems, a Kirkland, Washington supplier of human primary cells and cell culture media, to expand its human tissue and cell portfolio and accelerate translational drug discovery. Financing for the transaction was provided by AnaBios' existing investors, including Ampersand Capital Partners; financial terms were not disclosed.

VION Biosciences Acquires BioAssay Systems

Ardian Acquires 50% Stake in ANGUS Chemical Company

Golden Gate Capital will retain the remaining 50% and Ardian will partner with ANGUS management to accelerate growth through investment in core markets, development of new molecules and a global buy-and-build strategy.

AbCellera Acquires TetraGenetics

AbCellera Biologics Inc. acquired TetraGenetics, Inc. in an all-cash transaction to integrate TetraGenetics' recombinant transmembrane protein expression platform into AbCellera's antibody discovery technology stack. The acquisition expands AbCellera's ability to generate antibodies against difficult-to-drug ion channels, GPCRs and other transmembrane targets, and includes upfront and milestone-based payments.

Zydus Lifesciences Acquires Agenus' U.S. Biologics Manufacturing Facilities and Launches Zylidac Bio LLC

Zydus Lifesciences Limited has completed purchase agreements with Agenus Inc. to acquire Agenus' biologics manufacturing facilities and operations in Emeryville and Berkeley, California, and has established a U.S. CDMO subsidiary, Zylidac Bio LLC, to operate the assets. The deal includes exclusive manufacturing arrangements for Agenus' Phase 3 immuno-oncology candidates (botensilimab and balstilimab), exclusive commercialization rights for those assets in India and Sri Lanka, and an equity investment in Agenus via Zynext Ventures; regulatory approvals including CFIUS clearance were secured.
