Tabhi Acquires Mondee Holdings Out of Chapter 11 Restructuring

Tabhi Inc. acquired substantially all assets of Mondee Holdings, Inc. as part of Mondee's Chapter 11 restructuring, with new equity and credit support from affiliates of TCW Asset Management, Morgan Stanley Investment Management and Wingspire Capital. The transaction reduced Mondee's debt, strengthened liquidity, and resulted in Prasad Gundumogula taking a majority equity stake while Tabhi named Kumar R. Parakala CEO of North America to accelerate AI-powered travel offerings.

Mondee Acquires Skypass Travel

Mondee Holdings, Inc. has acquired Skypass Travel, Inc. for approximately $15 million in a cash-and-stock transaction (including $3 million cash and the remainder in Mondee stock at $10 per share, with potential additional stock upon achievement of growth targets). Skypass, a U.S.-based wholesale and corporate travel services provider with corporate clients across the U.S., Europe and India and 2022 revenue of $45 million, will be integrated into Mondee's digital travel marketplace to expand Mondee's corporate bookings, supplier contract access and additional platform features.

MCAP Acquisition Corporation, sponsored by Monroe Capital, completed its business combination with AdTheorent, and the combined company began trading on Nasdaq under the ticker ADTH. The transaction included an oversubscribed $121.5 million PIPE anchored by Hana Financial Group, Monroe Capital and Palantir Technologies and provided roughly $100 million of primary proceeds to fund AdTheorent's growth; H.I.G. Growth Partners remains AdTheorent's largest stockholder.
