CD&R Acquires HD Supply’s White Cap and Combines It with Construction Supply Group

Clayton, Dubilier & Rice (CD&R) will acquire HD Supply’s Construction & Industrial business (White Cap) and combine it with Construction Supply Group (CSG), creating a leading North American distributor of concrete accessories and specialty construction products in a transaction valued at about $4 billion. CD&R funds will hold a 65% stake in the combined company while current CSG shareholders, led by The Sterling Group, will retain a 35% interest; the deal is subject to customary regulatory approvals.
