Pfizer Acquires Amplyx Pharmaceuticals

Pfizer Inc. acquired Amplyx Pharmaceuticals, a privately held clinical-stage biotechnology company developing the antifungal candidate fosmanogepix (APX001). The deal expands Pfizer's anti-infectives pipeline and secures Amplyx's lead and early-stage assets to advance development of novel antifungal and antiviral therapies.

Pacific Biosciences Acquires Apton Biosystems

Pacific Biosciences (PacBio) has entered into an agreement to acquire Apton Biosystems, a Pleasanton, California-based developer of high-throughput short-read sequencing instrumentation, to accelerate development of a next-generation, high-throughput short-read sequencer. The all-stock deal provides approximately $85 million upfront (≈6.3M shares) plus up to $25 million in additional consideration contingent on achieving $50 million in revenue, valuing the transaction at up to ~$110 million.

Aditxt Inc. Signs Share Exchange Agreement to Acquire AiPharma Global Holdings LLC

Aditxt Inc. (Nasdaq: ADTX) signed a share exchange agreement to acquire AiPharma Global Holdings LLC, a wholly owned subsidiary of AiPharma Group Ltd., in a two-step transaction that initially transfers a 9.5% interest followed by the remaining 90.5% subject to closing conditions and shareholder/Nasdaq approvals. The deal would give Aditxt commercial presence in infectious disease therapeutics and access to AiPharma's rights to Avigan (favipiravir) and related antiviral assets and distribution networks.

Takeda Acquires Adaptate Biotherapeutics

Takeda Pharmaceutical Company Limited has exercised its option to acquire Adaptate Biotherapeutics, a UK biotechnology spin-out focused on antibody-based γδ T cell engager therapies for solid tumors. The acquisition gives Takeda Adaptate’s antibody-based γδ T cell engager platform and preclinical pipeline to strengthen Takeda’s immuno-oncology capabilities and accelerate development of Vδ1‑targeting therapies.

Shionogi Inc. Acquires Qpex Biopharma, Inc.

Shionogi Inc., the U.S. subsidiary of Shionogi & Co., Ltd., entered into a definitive agreement to acquire San Diego-based clinical-stage antimicrobial developer Qpex Biopharma, Inc. The acquisition (upfront $100 million plus up to $40 million in milestones) brings Qpex's investigational beta-lactamase inhibitor xeruborbactam and expands Shionogi's infectious disease R&D capabilities and pipeline.

Cycle Pharmaceuticals (Cycle Group) Acquires Applied Therapeutics, Inc.

Cycle Group Holdings Limited (Cycle Pharmaceuticals) has completed the acquisition of NASDAQ-listed Applied Therapeutics, a clinical-stage biopharmaceutical company focused on novel CNS-penetrant therapies for rare metabolic diseases. The transaction was funded from Cycle's cash on hand and brings Applied's lead candidate govorestat and rare-disease pipeline into Cycle's rare metabolic disease platform.
