Liberty Latin America and Millicom Abandon Proposed Costa Rica Network Combination

Liberty Latin America and Millicom announced that Costa Rica’s telecommunications regulator (SUTEL) issued a final resolution not to approve their proposed transaction to combine their respective operations in Costa Rica. The companies said they believe the combination would have increased technology investment and accelerated next-generation network expansion, and they are working on next steps under the existing combination agreement.

ORANGE and MASMOVIL to combine Spanish operations in 50-50 joint venture

ORANGE and MASMOVIL have signed a binding agreement to combine their Spanish businesses into a 50-50 joint venture (LORCA JVCO) based on an enterprise value of €18.6 billion (€7.8bn for ORANGE Spain and €10.9bn for MASMOVIL). The deal, backed by a €6.6bn non‑recourse debt package and expected to generate >€450m of annual synergies by year four, is subject to antitrust and regulatory approvals and is targeted to close by H2 2023, with a path to an IPO under certain conditions.

CentraCom (LICT Corporation) Acquires Manti Telephone Company, Manti Tele Communications and AFConnect

CentraCom, a wholly owned subsidiary of LICT Corporation, has agreed to acquire Manti Telephone Company (MTC), sister company Manti Tele Communications Company (MTCC), and AFConnect (AFI). The deal — which expands CentraCom’s statewide fiber footprint into Manti, Sterling, Ephraim and American Fork, Utah — is expected to close on October 31, 2023 pending regulatory approval.

Liberty Global has entered into a definitive agreement with Vodafone Group to acquire Vodafone’s 50% shareholding in the Dutch telecommunications joint venture VodafoneZiggo for €1.0 billion in cash and a 10% equity interest in a new Benelux company called Ziggo Group. Ziggo Group is expected to hold Liberty Global’s interests in VodafoneZiggo and Belgium’s Telenet, with plans to list in Amsterdam in 2027 and spin off 90% of shares to Liberty Global shareholders.
