Lowe's Acquires STAINMASTER Brand from Invista

Lowe’s Companies, Inc. acquired the STAINMASTER brand and related intellectual property from its parent company, Invista, to expand Lowe’s private brand assortment and advance its Total Home strategy. The deal transfers trademarks and brand-related IP to Lowe’s, enabling the retailer to extend STAINMASTER into additional product categories and strengthen its flooring and home products offering.

The transaction separates the franchised restoration and cleaning portfolio (ServiceMaster Brands) from the remaining business, which was renamed Terminix Global Holdings; Roark intends to leverage its franchising expertise to grow the platform, and Elane Stock will become CEO of ServiceMaster Brands.

Hillman Solutions Corp. (Nasdaq: HLMN) has acquired Intex DIY, Inc., a supplier and manufacturer of wiping cloths, consumable rags and cleaning textiles, to expand its Protective Solutions business. The bolt-on acquisition—made through Hillman’s wholly-owned subsidiary Big Time Products, LLC—adds Intex’s product suite and manufacturing/distribution capabilities (a facility outside Atlanta, Georgia) to Hillman’s portfolio; financial terms were not disclosed.

Global home-furnishings company Surya has purchased Salt Lake City-based outdoor furniture seller RST Brands as a going-concern following a turnaround led by Tiger Group’s Advisory Services. The acquisition expands Surya’s outdoor furnishings capabilities and market share; RST sells direct-to-consumer and through major retailers and marketplaces including Wayfair, The Home Depot, Costco, Target, Lowe’s and Amazon.

The deal expands Spartan Surfaces' commercial distribution footprint in the New York City and New England markets and will operate Salesmaster as part of Spartan to capture purchasing, inventory, logistics, and customer-service synergies.

Overstock Acquires Bed Bath & Beyond Brand and Intellectual Property

Overstock.com, Inc. acquired certain intellectual property assets of the Bed Bath & Beyond banner from Bed Bath & Beyond, Inc. in a U.S. Bankruptcy Court‑supervised sale for $21.5 million in cash. The purchase (which excludes store leases, inventory, warehousing and logistics) gives Overstock the Bed Bath & Beyond domains, trademarks, customer database and loyalty data and will be integrated into Overstock’s online business and loyalty program to expand its consumer reach and brand presence.
