Medical Solutions Acquires WorldWide HealthStaff Solutions

Omaha-based Medical Solutions has acquired Charlotte-based WorldWide HealthStaff Solutions, a direct-hire international nurse and allied health recruitment firm. WorldWide HealthStaff will continue to operate under its own brand within the Medical Solutions family to expand Medical Solutions’ international recruitment capabilities and address clinician shortages in the U.S.; terms were not disclosed.

Alight Solutions Acquires ConsumerMedical

Alight Solutions has signed a definitive agreement to acquire ConsumerMedical, a clinical advocacy and expert medical opinion provider. The acquisition will integrate ConsumerMedical’s decision-support, claims advocacy and AI-based predictive tools into Alight’s Worklife platform to enhance employer healthcare navigation and improve outcomes while reducing costs; the deal is expected to close in the third quarter subject to customary conditions.

Centerbridge Partners and CDPQ to Acquire Medical Solutions from TPG Growth

Funds advised by Centerbridge Partners and Caisse de dépôt et placement du Québec (CDPQ) will acquire Medical Solutions from TPG Growth in a transaction expected to close in Q4 2021; terms were not disclosed. Medical Solutions, headquartered in Omaha, Nebraska, is a leading provider of healthcare workforce solutions (notably travel nursing and allied staffing) that deployed clinicians to more than 4,500 facilities in 2020; the buyers said they will support the company's next phase of expansion and capability-building.

HEALWELL AI to Acquire VeroSource Solutions

HEALWELL AI Inc. has agreed to acquire VeroSource Solutions Inc. for total consideration of approximately $24.5 million in a two-step transaction (initial ~51% on July 1, 2024 and remaining ~49% expected about January 1, 2025), payable in cash, HEALWELL subordinate voting shares and a performance-based earn-out. VeroSource, a Canadian health-data interoperability and digital-front-door platform serving provincial health clients, is expected to generate over $8 million in 2024 with strong recurring revenue and margins and will expand HEALWELL's population-health and AI-driven capabilities.

DocMJ Acquires Medwell Health and Wellness Centers

DocMJ, a multistate medical cannabis physician practice headquartered in Clearwater, Florida, acquired Medwell Health and Wellness Centers, a Massachusetts-based medical cannabis evaluation clinic network, in a deal completed January 23, 2023. The acquisition expands DocMJ's geographic footprint and patient services by adding Medwell's Massachusetts clinics and Florida locations while keeping the Medwell brand and clinics operating under current management.

Staffing 360 Solutions, Inc. has signed an agreement to acquire Headway Workforce Solutions for up to approximately $14 million in a combination of preferred stock and earn-out cash. The acquisition adds Headway’s national staffing operations, proprietary recruiting technologies and a 3-million candidate database to Staffing 360’s buy-and-build consolidation strategy.
