Old National Bancorp and First Midwest Bancorp Announce $6.5 Billion Merger

Old National Bancorp (NASDAQ: ONB) and First Midwest Bancorp (NASDAQ: FMBI) have entered into a definitive merger agreement to combine in an all-stock merger of equals valued at $6.5 billion. The combined company will operate under the Old National Bancorp and Old National Bank names with dual headquarters in Evansville, Indiana and Chicago, Illinois, and the deal is expected to close in late 2021 or early 2022 subject to approvals.

In a separate agreement, First Mid also agreed to acquire approximately $225 million in loans and $280 million in deposits plus the relationship team from a separate St. Louis-area financial institution, expanding First Mid's presence in the St. Louis market.

First Mid Bancshares Acquires Blackhawk Bancorp

The transaction expands First Mid's footprint with Blackhawk's 10 branches in Wisconsin and Illinois, is expected to close in the second half of 2023 subject to regulatory and shareholder approvals, and is projected to be accretive to EPS with significant cost savings and liquidity benefits.
