Prosus to Acquire Just Eat Takeaway.com for €4.1 Billion

Prosus announced a conditional agreement to acquire Just Eat Takeaway.com for €20.30 per share in an all-cash public offer, valuing the deal at about €4.1 billion. Fresh2 Group Ltd. (NASDAQ: FRES), through its subsidiary Fresh2 Technology Inc., agreed to acquire 100% of Youfood Group Inc. in a stock-for-stock transaction. The deal—payment in 38,333,334 newly issued Fresh2 Class A common shares—is intended to expand Fresh2's cross-border B2C food e-commerce capabilities and provide access to new North American customers sourcing food from Asia and South America.

Prosus (Naspers) Agrees to Sell Avito Group to Kismet Capital Subsidiaries

Prosus, majority-owned by Naspers, entered into an agreement through its affiliates to sell the Avito Group (Russia classifieds businesses) to purchasers that are subsidiaries of Kismet Capital Group LLC. The transaction values the Avito Group at an aggregate consideration of RUB 151 billion, to be funded via a mix of cash and debt financing, with closing expected in October 2022.

PayFacto Acquires iShopFood Inc.

Wonder Acquires Grubhub for $650 Million

DoorDash to Acquire Deliveroo

DoorDash has reached an agreement with Deliveroo’s board for a recommended final cash acquisition of the entire issued and to be issued share capital of Deliveroo. Under the terms, Deliveroo shareholders will receive 180 pence per share, valuing Deliveroo at approximately £2.9 billion (about £2.4 billion enterprise value), with the deal expected to close in Q4 2025 subject to conditions.
