Boehringer Ingelheim Acquires Nerio Therapeutics

Boehringer Ingelheim agreed to acquire Nerio Therapeutics, a San Diego-based preclinical biotech focused on PTPN2/N1 phosphatase inhibitors for immuno-oncology, for up to $1.3 billion. Nerio was invested/incubated by Viva BioInnovator and backed by a syndicate including Avalon Ventures; the deal is intended to accelerate development of Nerio’s preclinical program as a cornerstone of Boehringer’s immuno-oncology portfolio.

Sanofi to Acquire Vicebio for Up to $1.6 Billion

Sanofi will acquire clinical-stage biopharmaceutical company Vicebio in a deal worth up to $1.6 billion, including $1.15 billion upfront and $450 million in milestone payments. Vicebio, created by Medicxi using the University of Queensland's Molecular Clamp technology, develops multivalent vaccines targeting respiratory viruses and recently advanced a bivalent RSV/hMPV candidate into Phase 1 trials.

Bioventus Acquires Bioness, Inc.

Bioventus Inc. acquired Bioness, Inc. for $45 million in up-front consideration plus up to $65 million of contingent consideration, making Bioness a wholly‑owned subsidiary. The acquisition expands Bioventus' rehabilitation and neuromodulation product portfolio and R&D pipeline, and is expected to be accretive to revenue by leveraging Bioventus' global commercial infrastructure.

AbbVie Acquires Syndesi Therapeutics

AbbVie has acquired Syndesi Therapeutics for up to US$1.0 billion, including US$130 million upfront, to strengthen its neuroscience portfolio and accelerate Syndesi's lead SV2A program SDI-118 into later-stage development. Syndesi was a Novo Seeds / UCB spin-out backed by Novo Holdings and a syndicate of Belgian and international investors.

Merck & Co., Inc. Acquires VelosBio Inc.

Merck & Co., Inc. will acquire all outstanding shares of clinical-stage biopharmaceutical company VelosBio for $2.75 billion in cash. The acquisition adds VelosBio's lead investigational antibody-drug conjugate VLS-101 and ROR1-directed pipeline assets to Merck's oncology portfolio and is expected to close by the end of 2020, subject to customary conditions.

Novartis Acquires Vedere Bio

Novartis has acquired Vedere Bio, a Cambridge-based optogenetics AAV gene therapy company, for $150 million upfront plus up to $130 million in potential regulatory and clinical milestones (total consideration of $280 million). The deal includes Vedere Bio's lead preclinical intravitreal AAV programs focused on pan-genotypic vision restoration; earlier-stage assets were spun out into a newly formed independent company, Vedere Bio II.
