The deal expands Stratus's software-based application-availability and fault-tolerance capabilities, broadens its partner ecosystem (including Citrix), and transfers Marathon employees in the U.S., U.K. and Japan to Stratus employment.

(SGH) entered into a definitive agreement to acquire Stratus Technologies for $225 million in cash at closing, plus an earn-out of up to $50 million tied to Stratus gross profit performance over the first 12 fiscal months after closing. SGH expects the closing to occur in the second half of calendar year 2022 and plans to integrate Stratus into its Intelligent Platform Solutions (IPS) group.
